These Terms of Service ("Terms") govern your use of integralproductservices.com and the free intake services we provide (the "Services"). By using the Site or submitting our form, you agree to these Terms. If you do not agree, do not use the Site.
The Site is operated by Integral Product Services LLC, a Florida limited liability company, located in Weston, Broward County, Florida.
We help inventors and entrepreneurs evaluate and move product ideas toward market. As part of our free intake, eligible submissions receive a professional line drawing of the idea and a complimentary 15-minute consultation with a Product Launch Specialist, who provides an honest assessment of the idea.
The free drawing and consultation are provided as described. Any further work (such as product development, branding, manufacturing planning, licensing support, or launch strategy) is a separate, paid engagement governed by a separate written agreement, which will describe the scope and cost. Nothing on the Site is an offer to perform paid services without such an agreement.
We do not guarantee any particular outcome. We cannot and do not promise that any idea will be accepted, patented, licensed, manufactured, sold, marketed successfully, or generate any revenue or profit. Our assessments are opinions based on the information you provide, and product commercialization involves significant risk and factors outside our control. Any examples, testimonials, or past results shown are not a promise or prediction of your results.
We provide early-stage assessment and launch-preparation assistance. Our role is to help you evaluate your idea and prepare initial steps toward market, such as a concept drawing, an honest assessment, and (in a separate paid engagement) support with areas like branding, manufacturing planning, licensing direction, and launch strategy.
We are not an invention-promotion or invention-marketing service. We do not promise, and do not provide, promotion of your invention, marketing success, sales, licensing deals, or any commercial outcome. We make no representation that your idea will be promoted, marketed, licensed, sold, or commercialized. Any decision to pursue further steps, and any results, are your own.
You represent that the idea and information you submit are yours to share and do not infringe the rights of others. You retain ownership of your idea. As described at submission, an NDA is put in place to protect the information you share with us. Our use of your information is also governed by our Privacy Policy.
We may introduce you to third-party partners (such as patent, manufacturing, or other product- related providers). These are independent businesses; we do not control them and are not responsible for their services, advice, or conduct. We may receive compensation for introductions. You are never obligated to engage any partner we introduce, and any agreement you reach with a partner is between you and that partner.
The Site and its content (text, graphics, logos, and design) are owned by IPS or its licensors and are protected by law. You may not copy, reproduce, or use our content without permission. Your submission of your idea does not transfer ownership of your idea to us.
You agree not to use the Site unlawfully, submit false information, infringe others' rights, attempt to disrupt or compromise the Site, or use it in any way that could harm IPS or others.
The Site and free Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non- infringement, to the fullest extent permitted by law.
To the fullest extent permitted by law, IPS and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Site or the free Services. You agree to indemnify and hold harmless IPS from claims, damages, and expenses arising out of your use of the Site, your submission, or your violation of these Terms.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be subject to venue in the state or federal courts located in Broward County, Florida. [Optional arbitration provision to be set with counsel.]
